The Counsel, Real Estate position will be an integral part of the Paramount Skydance Corporation in-house real estate team. This position will report to the Vice President/Associate General Counsel of Real Estate Legal, and will be based on-site full-time in New York, NY. This individual will work closely with the company real estate directors, as well as production, facilities, operations, finance and engineering personnel to negotiate and document various real estate transactions and provide counsel regarding various real estate legal issues. The successful candidate will be self-motivated, demonstrate critical thinking skills to solve problems and issues, and have an ability to develop good relationships with internal corporate clients. Responsibilities:

  • Drafting, reviewing and negotiating production stage and office leases, licenses and location agreements for film and television.
  • Drafting, reviewing and negotiating commercial leases (representing both landlords and tenants in various jurisdictions, including New York and California), as well as lease–related documents, including subleases, assignments, amendments, renewals, surrender and termination agreements.
  • Reviewing and negotiating SNDAs and estoppel certificates.
  • Drafting, reviewing and negotiating construction documentation, including contractor, architect, consulting and services agreements, including AIA documents.
  • Drafting, reviewing and negotiating sale and acquisition documentation relating to commercial properties, including title work and surveys, and preparing closing documents.
  • Providing real estate support for mergers and acquisitions, including due diligence review, review of merger, stock sale and asset purchase agreements.
  • Drafting, reviewing and negotiating facilities service agreements and other commercial agreements.

Qualifications:

  • 4+ years of transactional real estate legal experience in a law firm or combination of law firm and in-house corporate setting.
  • J.D. from an accredited law school and admitted to practice law in New York State and in good standing with the New York State bar.
  • Ability to manage a high volume of projects and deadlines independently.
  • Excellent business judgment, high-quality attention to detail and keen ability to identify and anticipate issues.
  • An knowledge and ability to remain abreast of current developments in commercial real estate law.
  • Proactive, resourceful and ''can do'' approach to recognizing needs and solving problems.
  • Excellent interpersonal and client relations skills.
  • Ability to work independently as well as part of a team as necessary.

ADDITIONAL INFORMATION Hiring Salary Range: $139,500.00 - 174,000.00. The hiring salary range for this position applies to New York City, California, Colorado, Washington state, and most other geographies. Starting pay for the successful applicant depends on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education. The benefits available for this position include medical, dental, vision, 401(k) plan, life insurance coverage, disability benefits, tuition assistance program and PTO or, if applicable, as otherwise dictated by the appropriate Collective Bargaining Agreement.
