About The Role Our client is seeking an experienced US Partnerships Counsel to serve as the lead legal advisor for a growing partnerships and ecosystem strategy. This role is centered on structuring, negotiating, and managing strategic partnership agreements while helping build scalable legal frameworks that support long-term growth. It is a strong fit for a lawyer who brings both deep commercial legal judgment and a builder mindset. This is a remote contract opportunity based in the United States, with preference for candidates located in New York or California and able to work across PST or EST time zones. The role offers a high degree of autonomy and requires close collaboration with senior business stakeholders and external partners in a fast-moving technology environment. Core Attributes

Responsibilities

  • Serve as lead legal counsel for strategic partnerships, alliances, channel relationships, and ecosystem initiatives.
  • Draft, negotiate, and advise on a broad range of partnership agreements.
  • Provide legal guidance on intellectual property, data usage rights, confidentiality, and regulatory considerations related to partnership programs.
  • Support the ongoing management and optimization of existing ecosystem and partner agreements.
  • Help design scalable legal frameworks that support long-term ecosystem growth.
  • Partner with business stakeholders on commercial strategy related to partnerships and ecosystem development.
  • Lead complex negotiations with external partners and internal decision-makers.
  • Advise on technology transaction issues tied to cloud, platform, and enterprise software business models.

Qualifications

For Success Minimum Requirements:

  • Active license to practice law in at least one US jurisdiction.
  • 7+ years of legal experience.
  • Significant in-house commercial and partnership counseling experience.
  • Demonstrated experience negotiating and managing strategic partnership agreements and enterprise commercial contracts.
  • Strong understanding of technology transactions, SaaS, cloud services, and platform business models.
  • Ability to independently lead complex negotiations with senior business stakeholders and external partners.
  • Excellent drafting, communication, and stakeholder management skills.

Preferred Qualifications

  • Experience supporting complex partnership programs within large technology, cloud, platform, or enterprise software organizations.
  • Experience supporting major cloud ecosystems such as Microsoft Azure, Amazon Web Services (AWS), Google Cloud Platform (GCP), Alibaba Cloud, or similar enterprise technology platforms.
  • Prior experience at a major technology company, cloud provider, consulting firm, or large-scale platform business.
  • Experience building or scaling partnership programs.
  • Based in New York or California.
