[Remote] Legal Counsel
Note: The job is a remote job and is open to candidates in USA. Ventra Health is a leading business solutions provider for facility-based physicians, focusing on Revenue Cycle Management. The Legal Counsel will support the company by reviewing and negotiating contracts, assisting with corporate governance, compliance, and other legal matters.
Responsibilities
- Draft and negotiate commercial contracts, including services agreements with healthcare customers, vendor contracts, confidentiality agreements, software license agreements, settlement agreements, information security agreements, business associate agreements, and real estate transactions
- Provide advice and counsel on contracts, disputes, risks, and potential legal liabilities
- Support transactional work, including mergers and acquisitions and debt and equity financing
- Conduct research on relevant legal issues
- Monitor and advise employees of relevant changes in law, policy, or guidance in the health care industry
- Support HR department regarding employment-related matters
- Continuously improve the efficiency and effectiveness of legal contract support within the company while maintaining the quality and consistency of contracts across the organization
- Assist the company with its compliance program
Skills
- Juris Doctorate degree from an American Bar Association accredited law school with strong academic credentials
- Licensed to practice law in the U.S
- Experience working in a fast-paced environment with demonstrated ability to juggle multiple projects and demands
- Proficiency in legal research, including Lexis, Westlaw, and other research tools, as well as experience with file and document management technology
- Well-organized with excellent attention to detail
- Strong ethical standards
- Ability to read, understand, and apply state/federal laws, regulations, and policies
- Ability to communicate with diverse personalities in a tactful, mature, and professional manner
- Understand and comply with company policies and procedures
- Strong leadership/management skills to manage, motivate, and set expectations with team members
- Strong judgment skills and problem-solving skills
- Strong oral, written, and interpersonal communication skills
- Strong time management, organizational, and decision-making skills
- Preference given to candidates with corporate or healthcare legal experience at a law firm, corporation, or health care related company
